The terms and conditions hereunder are an integral part of the agreement for audiovisual services concluded between ADVENTURE FILMS SARL and the Client for the performance of the services described in the price quote. The parties therefore agree as follows: 1. PURCHASE ORDER. The work on a project starts with a purchase order - a price quote or proposal signed by the Client which specifies the conditions of the project. 2. PAYMENT. All ADVENTURE FILMS SARL invoices are payable within 30 days of the invoice date. A monthly service charge of 1.5% is payable on all overdue balances. ADVENTURE FILMS SARL reserves the right to withold the start of a project or the delivery of final assets of any current work if overdue invoices are not paid in full. In the event of cancellation of the project by the Client, the Client may not require the refund of the advance payment. Moreover, an additional amount will be due by the Client to ADVENTURE FILMS SARL, proportional to the quantity of work already performed. 3. CLIENT CONTENT. The Client agrees to deliver all source materials at his disposal and to be used for the execution of the works, before ADVENTURE FILMS SARL starts working on the project, including, but not limited to, scripts, voice-over and on-screen texts, logos, images, typefaces and all instructions related to the project. They should be in conformity with the technical specifications requested at the time of signing the agreement. If the Client has specific requirements for how project files shall be prepared, the Client shall communicate this, in writing, to ADVENTURE FILMS SARL before the project begins. 4. ADVENTURE FILMS RESPONSIBILITIES. The work outlined in this agreement will be turned around within the time frame defined in the project schedule. However ADVENTURE FILMS SARL shall not be held responsible for a delay due to a failure of the Client to deliver accurate and complete information as mentioned in Article 3. Any additional work generated by this delay shall be invoiced separately. ADVENTURE FILMS SARL will hold and maintain in strict confidence all confidential or proprietary technical and business information and materials and shall not disclose confidential information to a third party. 5. CLIENT RESPONSIBILITIES. The Client will provide accurate, complete and timely information and materials to ADVENTURE FILMS SARL. The Client guarantees having all the necessary rights and ownership of materials, thus ADVENTURE FILMS SARL shall not be liable for any supplied content. 6. CLIENT CHANGES. Client corrections will not be taken over the telephone and shall be provided electronically. Any text with changes shall also be provided as marked up file, indicating the revised text. ADVENTURE FILMS SARL will handle as an extension of the progect and charge 150 € / working hour for any work generated by the Client modifying the initial materials provided before the start of the project, including, but not limited to, scripts, voice-over and on-screen texts, logos and images. 7. DELIVERY. ADVENTURE FILMS SARL will deliver the final audiovisual files to the Client through the means of a cloud-based computer file transfer service such as WeTransfer, or recorded on an external hard disk drive if it has been agreed beforehand at the beginning of the project. Acceptance of the work shall be done by paper or e-mail. The client will be asked to validate each stage of the video production. After acceptance ADVENTURE FILMS SARL will no longer be responsible for any modification of the work. Any such changes after acceptance will be the subject of a new price quote and invoiced separately. 8. USAGE. The video and audio files, animations, illustrations, storyboards, sketches, all creations and realizations of ADVENTURE FILMS SARL can not be used for other purposes than those envisaged in the contract / price quote, modified or reproduced without ADVENTURE FILMS SARL authorization. All future modifications will result in a new price quote and agreement. The Client authorizes ADVENTURE FILMS SARL to use the audiovisual works and materials (video and audio files, animations, illustrations, graphic designs, storyboards, sketches, logos) created under this agreement for the studio’s promotional purposes, in print materials, websites and social media once the videos are made public. 9. LITIGATION. In case of litigation Luxembourg law is the only one applicable.
